Clinician Education Terms of Use
Effective Date: October 24, 2026
Version 1.0
HRT Prescribing for Primary Care Clinicians: From Fear to Fluency and the Ovella Clinician Collective
These Terms of Use (the “Terms”) are an agreement between you and Ovella Health LLC (“Ovella Health,” “we,” “us,” or “our”). They govern your access to and use of our clinician course, HRT Prescribing for Primary Care Clinicians: From Fear to Fluency (the “Course”), and our online clinician community, the Ovella Clinician Collective (the “Collective”), both hosted on the Circle platform. Together, the Course and the Collective are called the “Programs.”
Please read these Terms carefully. By enrolling in the Course, joining the Collective, checking an “I agree” box, or otherwise accessing any part of the Programs, you agree to be bound by these Terms. If you do not agree, do not access the Programs.
1. Eligibility
The Programs are intended for licensed clinicians (including physicians, nurse practitioners, and physician assistants) and for residents and students currently enrolled in those training programs. By enrolling, you confirm that the information you provide about your licensure, training status, and identity is accurate and that you will keep it current.
Student and resident pricing is available only to individuals who are currently enrolled in an eligible training program. We may ask for verification.
2. Educational Purpose Only — Not Medical Advice
The Programs are provided for your own personal education and professional development only. Nothing in the Programs is medical advice for any specific patient, and nothing in the Programs creates a clinician–patient relationship between Ovella Health (or its clinicians) and you or any of your patients.
Discussions in the Collective, including responses from Ovella Health clinicians, are educational and collegial in nature. They are not consultations and do not replace your own evaluation of the patient in front of you. All prescribing and treatment decisions remain solely your responsibility as the treating clinician.
The Programs are not currently accredited for continuing medical education credit.
3. Your Licensure and Scope of Practice
You are solely responsible for practicing within the scope of your own license, training, and credentialing, and for complying with all laws, regulations, and institutional policies that apply to you, including those of every state in which you practice. Completing the Course does not certify, credential, or authorize you to provide any service.
4. Accuracy, Completeness, and Currency of Information
We have made every reasonable effort to ensure that the information in the Programs is accurate and up to date as of 2026. However, you acknowledge and agree that:
- Medical knowledge, clinical guidelines, product availability, and regulations change constantly — in some cases daily.
- Human error may occur, and the information may contain errors or omissions.
- The information is never fully complete and cannot address every clinical situation.
- The Programs are a snapshot in time, not a continuously current reference.
You agree to use the Programs as a guide to support your own ongoing learning, not as a substitute for it. You are responsible for reviewing the primary literature and current guidelines yourself, verifying information before applying it to patient care, and staying up to date on this subject independently.
5. Updates, Corrections, and Reporting Concerns
We plan to continue improving the Programs. We may update, revise, re-record, add, or remove content at any time, and we may notify you of new information or of errors we identify. We are not obligated to provide any particular update, and the absence of a notice does not mean that information remains current.
If you have a concern about the accuracy of any content, you are responsible for notifying us by email at admin@ovellahealth.com. Please include the module, lesson, or resource and a description of your concern, with supporting references where possible.
6. Intellectual Property and Limited License
All content in the Programs — including videos, recordings, slides, presentations, handouts, dosing tables, decision frameworks, templates, forms, quizzes, text, graphics, logos, and the Ovella Health name and brand — is owned by Ovella Health LLC or its licensors and is protected by copyright, trademark, and other laws.
We grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Program content for your own personal information and education only, for as long as you have authorized access. Where we make slides or handouts available for download, you may keep one copy for your own personal reference under this same license.
You may not, and may not allow anyone else to:
- Rebrand, re-label, or remove or alter any Ovella Health name, logo, copyright notice, or attribution on any content;
- Sell, resell, license, rent, or otherwise commercially exploit any content, in whole or in part;
- Copy, reproduce, distribute, publish, post, share, or transmit any content to anyone else, including on websites, social media, shared drives, or other courses or communities;
- Use our slides, handouts, or presentations, in whole or in part, in your own talks, teaching, courses, or marketing, or present them as your own work;
- Create derivative works from, or use any content to create or train, a competing course, program, product, or service.
If you would like to use any of our materials beyond these Terms — for example, with patients or colleagues — please ask us first at admin@ovellahealth.com. Any permission must be given in writing.
7. Your Account — One Clinician, One Seat
Your enrollment is for you alone. You may not share your login credentials or allow anyone else to access the Programs through your account, and you may not transfer your enrollment. You are responsible for keeping your credentials confidential and for all activity under your account. Please tell us promptly at admin@ovellahealth.com if you believe your account has been used without permission.
The Programs are hosted on Circle, a third-party platform. Your use of Circle is also subject to Circle’s own terms and privacy policy. We are not responsible for the availability, security, or performance of the Circle platform.
8. No Recording or Capturing of Content
Your enrollment includes access to the recorded lessons and slides through the platform, so there is no need to make your own copies. You may not record, screen-record, screenshot, photograph, download (other than through download features we provide), scrape, or otherwise capture any lesson, live session, Q&A, case discussion, or Collective post or conversation.
9. Community Standards and Privacy in the Collective
The Collective works only if every member can trust it. By participating, you agree to:
- Be respectful. Treat other members with courtesy and professionalism. Harassment, discrimination, personal attacks, and disruptive behavior are not permitted.
- Protect patient privacy. Share patient cases in fully de-identified form only. Never post names, dates of birth or other dates, locations, photographs, record numbers, or any rare or specific detail that could reasonably identify a patient.
- Protect member privacy. What is shared in the Collective stays in the Collective. Never share, repost, or disclose outside the Collective any information that identifies or could be linked back to another member, their patients, or their practice, including their posts, questions, or cases.
- Keep it educational. Do not use the Collective to solicit patients, advertise, or promote products or services without our prior written permission.
We may moderate, edit, or remove any post at our discretion. You remain responsible for anything you post, and you grant us a non-exclusive license to host and display your posts within the Programs.
Any breach of this section will result in termination of your membership and loss of access to the Course and the Collective, as described in Section 12.
10. Ovella Clinician Collective Membership and Billing
The Collective is available only to clinicians enrolled in the Course. When added at checkout, the Collective includes 60 days of free access. After that, membership is $19.99 per month or $200 per year, and it renews automatically at the end of each billing period until you cancel. You may cancel at any time; cancellation takes effect at the end of your current billing period, and we do not provide refunds or credits for partial billing periods. We may change membership pricing with advance notice, and any change will apply to your next billing period.
11. Course Fees and Refunds
The Course is a one-time payment. You may request a full refund within 30 days of purchase if you have completed less than 20% of the Course and have not downloaded any Course materials (such as slides or handouts). To request a refund, email admin@ovellahealth.com within that window. After that window, all Course fees are non-refundable.
No refund of any kind will be provided if your access is terminated for a breach of these Terms.
12. Suspension and Termination
We may suspend or terminate your access to the Programs, without notice, if you breach these Terms. A breach of Section 6 (Intellectual Property), Section 7 (Account Sharing), Section 8 (No Recording), or Section 9 (Community Standards and Privacy) will result in immediate termination of your access to both the Course and the Collective, without refund. We also reserve all other rights and remedies available to us by law.
Sections 2 through 6, 8, 9 (as to information you received), 11, and 13 through 17 survive any termination or expiration of your access.
13. Disclaimer of Warranties
THE PROGRAMS AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OF ACCURACY, COMPLETENESS, CURRENCY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW.
14. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, OVELLA HEALTH LLC, ITS OWNERS, CLINICIANS, EMPLOYEES, AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY CLAIM ARISING FROM YOUR CLINICAL DECISIONS OR THE CARE OF YOUR PATIENTS, ARISING OUT OF OR RELATING TO THE PROGRAMS. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE PROGRAMS WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE PROGRAMS IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE.
15. Indemnification
You agree to indemnify and hold harmless Ovella Health LLC and its owners, clinicians, employees, and contractors from any claims, losses, or expenses (including reasonable attorneys’ fees) arising from your clinical practice, your use of the Programs, any content you post, or your breach of these Terms.
16. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by email or through the platform. Your continued access to the Programs after the effective date of an update means you accept the updated Terms.
17. Governing Law and General Terms
These Terms are governed by the laws of the State of Colorado, without regard to its conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in Colorado or Montana, as selected by Ovella Health, and you consent to the personal jurisdiction of those courts. If any provision of these Terms is found unenforceable, the remaining provisions remain in effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms; we may assign them in connection with a sale or reorganization of our business. These Terms, together with the Ovella Health website Terms of Service and Privacy Policy, are the entire agreement between you and us about the Programs.
